Annotone Terms of Use and End User License Agreement
Effective September 23, 2026
These Terms of Use and End User License Agreement (the “Terms”) are a binding agreement between you and DEF Enterprises, LLC d/b/a Standalone Software (“Standalone Software,” “we,” “us,” or “our”). They govern the Annotone desktop application, getannotone.com, and related licensing, device-management, and guest-review services (collectively, “Annotone”). By purchasing, installing, activating, accessing, or using Annotone, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not purchase, install, or use Annotone.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering this agreement. If you use Annotone for an organization, you represent that you have authority to bind it, and “you” includes that organization.
2. One-time purchase; no subscription
Annotone is sold for a one-time payment, not a subscription. A purchase grants the license below for the major version purchased. It does not include future major versions, which may require a separate purchase. We may provide maintenance, compatibility, security, or minor-version updates at our discretion and do not promise any particular update or feature.
ALL SALES ARE FINAL AND NON-REFUNDABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not provide refunds for change of mind, failure to use the product, device incompatibility disclosed before purchase, or a later decision not to use online features. This rule does not exclude a remedy that applicable law makes non-waivable. Prices exclude taxes unless stated otherwise.
3. Software license and device limit
Subject to these Terms and payment of all applicable charges, we grant you a perpetual, limited, revocable, non-exclusive, non-transferable license to install and use the purchased major version of Annotone for your personal or internal business purposes on no more than three active devices at one time. The license is issued to the purchaser and may not be shared, pooled, rented, sublicensed, assigned, or resold. Deactivating a device may free a slot for another device. A one-time purchase is a license to use Annotone; it is not a sale of Annotone’s source code, intellectual property, or ownership rights.
4. License activation
Activation may transmit the purchase credential, purchase email, device name, a one-way device identifier, and activation data to our licensing service. Activated devices receive a device-bound certificate that permits offline use. You are responsible for protecting purchase credentials and promptly notifying us of suspected misuse. We may reject, suspend, or revoke credentials or activations associated with fraud, chargebacks, piracy, credential sharing, circumvention, material breach of these Terms, or legal requirements.
5. Local files and guest reviews
Annotone is local-first. Audio files are not uploaded to Standalone Software by the desktop application or guest-review service. Ordinary notes and take selections are stored in user-controlled files.
If you create an optional guest-review link, Annotone transmits and stores the review title, filenames, folder hints, notes or marks included in the review snapshot, optional third-party audio links, expiration and access settings, and guest responses. Anyone possessing an unprotected review link may be able to access it. Password protection reduces but does not eliminate that risk. You are responsible for distributing links securely, revoking them when appropriate, and having all rights and permissions needed for submitted content and linked media.
Guest reviewers receive a limited right to access the specific review and submit authorized responses. They must not probe, scrape, disrupt, bypass access controls, discover other reviews, or use review content outside the creator’s invitation.
6. Acceptable use and license restrictions
You may not, and may not assist another person to:
- copy, distribute, publish, sell, rent, sublicense, share, or commercially exploit Annotone or its purchase credentials except as expressly allowed;
- circumvent licensing, activation, device limits, authentication, access controls, rate limits, or other technical protections;
- pirate Annotone or use, create, distribute, or facilitate unauthorized copies, keys, certificates, cracks, loaders, or activation methods;
- reverse engineer, decompile, disassemble, translate, modify, or derive source code from Annotone, except only to the limited extent applicable law expressly permits despite this restriction;
- remove proprietary notices or represent Annotone as your product;
- use Annotone or review links to infringe intellectual-property, privacy, publicity, confidentiality, or other rights, or to transmit unlawful, malicious, deceptive, or abusive material;
- interfere with, overload, scan, attack, or gain unauthorized access to Annotone or related systems; or
- use Annotone to develop or provide an unauthorized competing copy based on protected elements of Annotone.
7. Your content
You retain ownership of your audio, notes, marks, reviews, and responses (“User Content”). You grant us only the limited rights necessary to host, transmit, secure, back up, and operate guest reviews and provide requested support. You represent that you have the rights and permissions required to use and share User Content. We may restrict or remove content when reasonably necessary to enforce these Terms, protect users or systems, or comply with law.
8. Ownership and feedback
Annotone, its design, software, documentation, trademarks, and all related intellectual-property rights belong to Standalone Software or its licensors. Except for the limited license in Section 3, no rights are granted. If you voluntarily provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without obligation to you.
9. Third-party services
Purchases, email delivery, analytics, advertising measurement, externally hosted audio, and other functions may use third-party services governed by their own terms and privacy practices. We are not responsible for third-party content, availability, or conduct. Annotone does not grant you rights to audio or other third-party material.
10. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANNOTONE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION. YOU ARE RESPONSIBLE FOR BACKING UP YOUR FILES AND VERIFYING OUTPUT BEFORE RELYING ON IT. NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANDALONE SOFTWARE AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, AUDIO, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY ARISING FROM ANNOTONE WILL NOT EXCEED THE AMOUNT YOU PAID FOR ANNOTONE. These limitations apply regardless of legal theory and even if advised of the possibility of loss. They do not limit liability that applicable law does not permit us to limit.
12. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold Standalone Software harmless from third-party claims arising from your User Content, unlawful use, infringement of another person’s rights, or material violation of these Terms.
13. Termination
Your license terminates automatically if you materially breach these Terms. On termination, you must stop using and delete all copies of Annotone. Sections concerning ownership, restrictions, disclaimers, liability, indemnity, disputes, and other provisions intended by their nature to survive will survive. Termination for breach does not entitle you to a refund.
14. Governing law and disputes
These Terms are governed by Arizona law, without regard to conflict-of-law rules. Subject to non-waivable consumer law, state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction. If mandatory law in your residence gives you additional rights or permits proceedings elsewhere, those mandatory rights remain unaffected.
15. General
These Terms and the incorporated Privacy Policy are the entire agreement concerning Annotone. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder remains effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, asset transfer, or by operation of law. We may update these Terms prospectively by posting a revised version and effective date; material changes will not retroactively reduce rights already granted for a purchased version except where legally required.
